Key elements of the Kairos due diligence process include an assessment of management, an independent asset valuation (as required), analysis of the industry and competitive dynamics, extensive customer and supplier interviews (as required), a thorough operational and financial review, confirmation of strategic, tactical and financial plans and identification of likely exit alternatives and anticipated challenges in achieving the business plan.
Our process is uniquely designed to validate the existence and quality of cash flows and to identify unique opportunities to improve operating performance and enhance overall profitability. These disciplines are deeply rooted and broadly utilized throughout the Kairos organization and in our investment and underwriting process.
We have historically worked with, and expect to continue to target, investments in companies with many of the following characteristics:
- A strong or meaningful brand or identifiable niche or concept
- A management team with meaningful equity ownership and or experience
- A dominant or defensible market position
- A leveragable opportunity for targeted return on invested capital
- Stable operating margins with an ability to generate free cash flow
- Recently stable or opportunistic balance sheet with a focus on imbedded value
- Clear, identifiable and profitable real estate strategy
- Reliable systems with data integrity and infrastructure to build upon
- Relevant business model as defined by scale, competitive environment, strategic drivers for growth, identifiable market opportunities and roadblocks
